Franchisee Services

FDD Reviews

We offer cost-effective flat fee pricing for our FDD reviews. For our prospective franchisee clients, we will prepare a memorandum with a summary of the key terms, negotiating points and red flags in the FDD and through a deeper dive into the system and our independent knowledge of the brand. Our summary will include negotiating points that we feel, in our experience, may be agreeable to a franchisor that will benefit you during the term of the Franchise Agreement. Our franchise attorneys regularly negotiate and draft franchise agreement addendums.

Franchise Resales

Some of the top franchise brands in the U.S. trust our attorneys as referrals for their franchisees looking to buy and sell franchises within and outside of the franchisor’s system. We routinely counsel buyers and sellers of single and multi-unit transactions in deals of all sizes.

Franchise M&A

We are deal lawyers. Our franchise transactional team regularly counsels single and multi-unit franchisees in complex transactions to facilitate development and growth through acquisition. Our attorneys approach each franchisee or soon-to-be franchisee clients’ transactions with a disciplined, business-oriented perspective. We have decades of experience in negotiation and closing deals, and excel at achieving creative and economically efficient solutions to the challenges and roadblocks that may impede a franchise M&A transaction. We draft Asset Purchase Agreements, Stock & Unit Purchase Agreements, as well as the necessary negotiated instruments and ancillary agreements necessary to get a deal done.

Lease Review and Negotiation

Our commercial leasing attorneys have experience assisting single-unit multi-unit franchise owners in obtaining fairly negotiated leases across the country. Franchise brands trust as as go-to leasing counsel offering franchisees of nationwide systems a flat rate to review and advise of the pitfalls of commercial leases and assist with the negotiation. The franchise agreement is the most important document governing a franchise relationship but the commercial lease is a close second and is too often overlooked. Don’t go at it alone.

General Counsel Services

Franchisees are business owners with small business legal needs. We offer our clients flat fee and capped fee services for most routine tasks including employee and human resource compliance, preparation of independent contractor agreements, preparation of operating or shareholder agreements, corporate formation, review of leases, and other related services.

Dispute Resolution

Our litigation attorneys represent both franchisors and franchisees in litigation in federal court, state court, and arbitration which helps us develop strategies for aggrieved franchisees looking to exit a franchise system or prevent infringement of rights under the franchise agreement. Our franchise litigation attorneys have the depth and experience to initiate disputes with franchisors, respond to notices of default, and proceed with the litigation process. Our franchise-specific litigators understand that our franchisee clients are often budget-conscious and try to be as cost-efficient with our time as possible.
