Franchisor Services

FDD Drafting and Updates

Our Franchise Disclosure Documents are used by franchise systems throughout the country in all states. We draft and update custom FDDs for each franchise client and provide guidance to our franchisor clients on FDD updates throughout the year and at renewal time. We offer competitive flat fee pricing on our FDDs and monthly and flat fee options for FDD updates and renewals.

Mergers & Acquisitions

The Franchise Firm franchise attorneys regularly handle mergers and acquisitions of emerging and established franchise brands on both sides of the aisle. We spearhead deals as lead M&A counsel and also seamlessly work with corporate counsel on franchise-specific due diligence matters on behalf of franchise brands and private equity or strategic acquirers. We routinely counsel our clients on franchise compliance matters and steps necessary to prepare for significant investment and exits.

State Registration and Renewals

Certain states require presale registration and approval of FDDs by state authorities. Some states require franchise registration including California, Hawaii, Illinois, Indiana, Maryland, Minnesota, New York, North Dakota, Rhode Island, South Dakota, Virginia, Washington, and Wisconsin. Other states require notices with a nominal fee be filed prior to conducting franchise sales. Some states such as Florida, Kentucky, Nebraska, Texas, North Carolina, South Carolina and Utah require compliance with business opportunity laws or providing proof of an exemption from those requirements. Our team has registered franchisors in every state, and we understand that timing is everything. We regularly communicate and have built relationships with state examiners to achieve registration as quickly as possible for our franchisor clients and to avoid gaps in registration to keep our clients selling throughout the year.

In-House Counsel Services

We are an extension of your franchise business and your legal partner. As a firm client, you will have access to experienced franchise attorneys to serve your everyday in-house legal needs but for a fraction of the price of an in-house counsel. Our attorneys work seamlessly with our franchisor clients to negotiate deals with franchisees and their counsel. We prepare all of the documents needed for your franchise deal to close. The FTC Rule has strict guidelines and requirements on selling franchises and marketing franchise systems, and we provide franchise sales training seminars for you and your team. From routine state registration renewals and FDD updates to acting as your de facto in-house counsel with legal@(insert brand).com email addresses, we offer an array of options to work with The Franchise Firm.

We secure and protect your brand’s intellectual property. Trademarks identify your brand to the public and must be protected against unauthorized use or infringement. We regularly assist our startup and emerging brands with initial trademark applications and taking an application through the USPTO’s process. For our established franchisor clients, we assist with trademark renewals and registering new logos and marks. We offer competitive flat fee pricing for our clients.

Franchise Disputes

We routinely counsel our clients in franchise disputes on business-positive resolutions, rather than maximizing the conflict because we understand that conflict within a franchise system often takes the focus off of the business aspect of running and growing a franchise business. However, our attorneys have the depth of experience both in the courtroom and in arbitration to litigate and win for our franchisor clients. Whether you need an immediate temporary restraining order or injunction to prevent franchisees from competing with your brand or you need us to seek damages in arbitration all the way through to a final hearing, our litigation attorneys have secured substantial, published victories over the years and serve our clients with cost-efficient rates and budgets.
